Terms and Conditions

These Terms and Conditions ("T&C") apply to all agreements for the use of the software-as-a-service solutions offered by Velqia GbR ("Velqia"), including AI-powered chatbots, digital assistants and automation solutions. Velqia GbR is a civil-law partnership registered at Krausestraße 42B, 22049 Hamburg, Germany. Contact: admin@getvelqia.com

1. Scope and Contracting Party

These T&C apply to both business customers (B2B) and consumers (B2C). Provisions specific to consumers are expressly indicated. Customer terms that differ from or conflict with these T&C are not accepted unless Velqia expressly agrees to them in writing.

2. Contract Formation and Service Description

Listings on the Velqia website constitute a non-binding invitation to submit an offer. A binding contract is formed upon the customer's registration and Velqia's confirmation (by email or activation of access).

The scope of the Services is defined by the current product description and the selected subscription plan at the time of order. Velqia provides the Services as software-as-a-service via the internet. Velqia may update and improve the Services provided that core functionalities are not permanently removed and the customer is notified in advance.

3. Subscription, Term and Termination

Services are provided on a subscription basis (monthly or annual). The term begins upon activation of access. Monthly subscriptions automatically renew for one month; annual subscriptions automatically renew for one year, unless cancelled in time.

Renewal cancellation must be requested before the next billing period and, as a general rule, with 14 days notice before the end of the current billing period, unless the selected plan provides more favorable conditions. Cancellation must be submitted in text form (email to admin@getvelqia.com). The right to extraordinary termination for good cause remains unaffected.

Consumers: you have the right to withdraw from this contract within 14 days without giving any reason. To exercise this right, notify us at admin@getvelqia.com.

4. Prices, Payment and Default

Current prices are listed on the Velqia website. Prices are shown excluding VAT (Umsatzsteuer). Velqia currently applies the Kleinunternehmerregelung under § 19 UStG and therefore does not charge Umsatzsteuer for as long as the applicable legal requirements are met. Subscription fees are due in advance — at the start of each billing period for monthly plans, and annually in advance for annual plans.

Payment is accepted by credit card, SEPA direct debit or other methods available on the website. In the event of late payment, Velqia may suspend access to the Services until full payment is received and charge statutory default interest.

Velqia reserves the right to adjust prices with 30 days' notice. Customers have a right of extraordinary termination in the event of material price increases.

5. Customer Obligations

  • The customer must keep login credentials confidential and must not grant access to unauthorised third parties.
  • The customer must not use the Services for unlawful purposes, including the distribution of misinformation, spam, malware or discriminatory content.
  • The customer is responsible for all content processed or transmitted through the Services and must ensure it holds all necessary rights and consents.
  • The customer must not decompile, reverse-engineer or use the Services in a manner that disrupts Velqia's infrastructure.
  • The customer must promptly notify Velqia of any misuse or security incidents.

6. Licence and Intellectual Property

Velqia grants the customer a non-exclusive, non-transferable licence to use the Services for the duration of the contract and within the agreed scope. All rights in the software, algorithms, source code and Velqia trademarks remain exclusively with Velqia.

Content submitted by the customer remains the customer's property. The customer grants Velqia a limited right to process such content solely for the purpose of providing the Services. Velqia may identify the customer as a reference unless the customer objects in writing.

7. Availability and Support

Velqia targets a monthly availability of 99% (excluding scheduled maintenance). Scheduled maintenance will be communicated to customers at least 48 hours in advance where possible.

Support is available by email (admin@getvelqia.com) during normal business hours (Mon–Fri, 9 AM–5 PM CET).

8. Liability and Warranty

Velqia's liability is unlimited for damages arising from injury to life, body or health, and for intent and gross negligence. For slight negligence, Velqia is only liable for breach of material contractual obligations, limited to foreseeable, typical contractual damages.

Liability for indirect damages, lost profits and data loss is excluded to the extent permitted by law. As AI-powered services are based on probabilistic models, Velqia makes no guarantee as to the accuracy, completeness or suitability of outputs generated.

Consumers: statutory warranty rights remain unaffected.

9. Data Protection

Personal data is processed in accordance with Velqia's Privacy Policy (available at www.getvelqia.com) and the GDPR. Where Velqia processes personal data on behalf of the customer, a separate Data Processing Agreement (DPA) pursuant to Art. 28 GDPR will be concluded.

10. Amendments to T&C

Velqia reserves the right to amend these T&C with 30 days' prior notice via email or the platform. If the customer does not object within 30 days of notification, the amended T&C are deemed accepted.

Consumers: in the event of material changes to your detriment, you have the right to terminate the contract free of charge.

11. Governing Law, Jurisdiction and Dispute Resolution

These T&C are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For disputes with business customers, the place of jurisdiction is Hamburg, Germany.

Consumers: jurisdiction is determined by the consumer's place of residence. Should any provision of these T&C be invalid, the remaining provisions shall remain in full force and effect.
